NOTIFICATION OF TRANSACTIONS OF PDMRs OR THEIR CONNECTED PERSONS  
  
Notification made in accordance with Rule 3.1.4 (1) (a) of the Disclosure and 
Transparency Rules.  
  
Conditional awards were made to the PDMRs mentioned below on 11 September 2009 
under the Babcock International Group PLC Performance Share Plan 2009 ("the 
PSP") in respect of 60p ordinary shares for nil consideration. The awards are 
subject to the achievement of pre-defined performance conditions over a three 
year performance period.  The number of shares over which the awards were 
granted was determined by reference to the mid-market price for the three 
consecutive dealing days immediately preceding the date of grant, in accordance 
with the rules of the PSP.  Subject to the Rules of the PSP the awards will not 
ordinarily be exercisable before July 2012.
