How do I buy/sell shares?
In order to buy shares, or sell some or all of your shares, you need to contact a stockbroker or share-dealing service. As well as specialist stockbrokers, most high street banks and a number of building societies offer share-dealing services. Share dealing services may be telephone, postal or internet based and commission rates can vary considerably. Before selling shares, you should ensure that you have the related share certificate(s). If you are selling shares which are registered in a nominee name, rather than your own name, you need to contact the nominee to make arrangements to sell the shares.



How do I transfer my shares?
You need to complete a stock transfer form and send it to Lloyds TSB Registrars, together with your share certificate and a nationality declaration form completed by the person to whom you are transferring the shares.

I have received unsolicited phone calls concerning investment matters as a BAE Systems shareholder. What should I do?
Over the last year many companies have become aware that their shareholders have received phone calls or correspondence concerning investment matters which imply a connection to the company concerned.

Please see the attached Warning to Shareholders which is endorsed by the Financial Services Authority (FSA).



When are dividends paid?
Dividends on ordinary shares are usually paid twice a year, in June and December.

Dividends on preference shares are paid twice a year at the beginning of January and the beginning of July.



Can I have my dividends paid direct into my bank or building society account?
Yes, dividends can be paid direct into most bank and building societies. All you need to do is to complete a mandate instruction form and return it to Lloyds TSB Registrars. The mandate instruction will apply to future dividends on all the shares held in your account. The tax voucher will continue to be sent to you at the address held for you on the register. You can revoke the mandate instruction at any time by notifying Lloyds TSB Registrars.

I arranged to have my dividends paid into my bank/building society account but I have now changed the account - what should I do?
You need to complete a new dividend mandate instruction form in respect of your new account and return it to Lloyds TSB Registrars.

I have lost the cheque relating to my last dividend payment - can I get a replacement?
Yes - you will need to contact Lloyds TSB Registrars who will issue a replacement cheque. The Registrars will charge an administrative fee for cheques in excess of £50.

You can arrange to have dividends paid direct into your bank or building society account which is a more convenient and secure method of payment than receiving a cheque. For details of how to do this please see "Can I have dividends paid direct to my bank or building society?" above.



I have lost the tax voucher relating to my last dividend - can I get a replacement?
You can obtain a duplicate tax voucher by contacting Lloyds TSB Registrars. The Registrars will charge an administrative fee for providing a replacement.



I cannot cash an old dividend cheque because it is out-of-date - what should I do?
You will need to contact Lloyds TSB Registrars who will issue a replacement cheque. The Registrars will charge an administrative fee for cheques in excess of £50.

Can I receive more shares instead of cash dividends?
Yes - the company operates a Dividend Reinvestment Plan. If you wish to participate, you need to complete an election form and return it to Lloyds TSB Registrars. There is a charge equal to 0.5% of the value of the shares received being payable to cover the cost of the transaction and 0.5% of the value is payable in stamp duty.

How can I find out how many BAE Systems shares I hold?
You should contact Lloyds TSB Registrars who can provide you with the relevant details.

I have changed my address - who do I notify?
You should notify Lloyds TSB Registrars in writing by confirming your full name, your old address and your new address. Please quote your shareholder reference, if possible, which can be found on your share certificate(s).

I have changed my name - what should I do?
You should send a copy of the relevant marriage certificate or change of name deed to Lloyds TSB Registrars, together with your share certificates.



I have lost my share certificate - what should I do?
You should contact Lloyds TSB Registrars who can issue a replacement certificate. The Registrars will charge an administrative fee for issuing a replacement and, depending on the number of shares involved, there may also be an indemnity charge to pay.



How do I register the death of a shareholder?
You should contact Lloyds TSB Registrars in the first instance who will arrange to send you the relevant forms for completion. In order to have the shares transferred, you will normally need to provide the Registrars with a court sealed copy of the Grant of Representation. If, however, the market value of the shares is less than £10,000, and the overall value of the estate is less than £234,000, it may be possible to use a special small estates procedure.



How can I obtain a copy of the Annual Report and Accounts?
You can download a copy of the Report and Accounts or, alternatively, you can contact Lloyds TSB Registrars who will arrange to send you a copy.



Can I check my shareholding on-line?

What were CALS?
"CALS" were £1 units of Capital Amortising Loan Stock which were issued to former GEC shareholders at the time of the merger of the MES business with British Aerospace plc on 29 November 1999. The CALS yielded an annual interest payment on 29 November of 7.45% on the outstanding principal amount. In addition, the CALS were partially redeemed by the Company on an annual basis between 29 November 2000 and 28 November 2003 in the following tranches:

29 November 2000 22.373% of the Original Principal Amount
29 November 2001 24.040% of the Original Principal Amount
29 November 2002 25.831% of the Original Principal Amount
28 November 2003 the balance of the Original Principal Amount

The CALS were fully redeemed on 28 November 2003 and there are no further interest or capital repayments due to be made. The CALS ceased to trade on the London Stock Exchange on 28 November 2003.



What did the payment I received in November 2003 represent?
The payment made on 28 November 2003 represented (1) an interest payment of 7.45% on the principal outstanding amount on each CAL (ie the original principal amount, or nominal value, less any amounts already redeemed), and (2) the outstanding balance of the original principal amount of each CAL.



I still have a certificate for the CALS. Can I sell them?
No. The CALS were fully redeemed on 28 November 2003 and ceased to trade on the London Stock Exchange on that date. Following full redemption the stock, the stock has been cancelled and has ceased to have any value.
