QinetiQ Group plc ("the Company") - Voting Rights and Capital  
  
In conformity with the Transparency Directive, the Company is required to notify 
the market of the following:  
  
The Company's capital consists of 660,476,373 ordinary shares with voting 
rights. None of these ordinary shares is held in Treasury.  
  
Therefore the total number of voting rights in the Company is 660,476,373.  
  
The above figure of 660,476,373 shares may be used by shareholders as the 
denominator for the calculations by which they will determine if they are 
required to notify their interest in, or a change to their interest in, the 
Company under the FSA's Disclosure and Transparency Rules.
