The disposal of Stagecoach Porterbrook Ltd and the authority to buy-back up to 15% of the issued share capital were approved at the E.G.M. held at 11 a.m. today.

Following the approval, the disposal of Stagecoach Porterbrook Ltd to Abbey National plc has been completed.

Resolution to approve the Disposal of Porterbrook: Proxy Shares for 918.0 million; Proxy Shares against 1.8 million; Proxy Shares abstaining 22.8 million.

Resolution to authorise the Company to purchase its own ordinary shares: Proxy Shares for 929.9 million; Proxy Shares against 8.5 million; Proxy Shares abstaining 4.2 million.
