VOLLER ENERGY GROUP PLC
(THE "COMPANY")
CHANGES TO SHARE OPTION SCHEME
Voller Energy plc, the leading developer of fuel cells systems, announces that
the Remuneration Committee of its Board has adopted amendments to the Voller
Energy Group Share Option Scheme (the "Scheme"). The Committee made these
amendments (which can only apply to new awards of share options) in order to
provide greater flexibility in the terms of awards made under the Scheme.
The Committee believes that new awards made under the Scheme will provide an
incentive to employees that is meaningful, relevant and which can, if
challenging performance targets are met, deliver appropriate rewards.
In summary, the main changes to the Scheme are as follows:-
- Awards may now be granted as retentive performance shares, with a
nominal exercise price.
- There will be greater flexibility in the performance targets that can
apply to awards. Going forward these may be related to group or business unit
performance or product development goals.
- Performance target periods and vesting periods are no longer required to
be a fixed 3 year period.
The Committee believes that these changes will permit the Scheme to continue to
operate as a vital tool in the retention and incentivisation of key employees.
